Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the SEO Crawler platform ("Platform"), operated by New Horizon Code Pty Ltd ("we", "us", "our").
By creating an account, authenticating a domain, configuring or initiating a crawl, accessing reports, using the API, or otherwise using any part of the Platform, you agree to be legally bound by these Terms.
If you do not agree to these Terms, you must not access or use the Platform.
2. Definitions
- "Crawl Data"
- means all technical and analytical information retrieved from a domain authenticated by you, including HTML, metadata, links, redirects, headers, SEO attributes, performance signals, and publicly accessible structured content.
- "Domain Authentication"
- means the process used to verify that you own or control a domain before crawling is enabled.
- "Personal Information"
- has the meaning given under the Privacy Act 1988 (Cth).
- "Services"
- means all features and functionality provided through the Platform, including crawling, scanning, scraping, analytics, reporting, APIs, AI-powered summaries, and automated monitoring.
- "User"
- means any individual authorised by you to access or use the Platform under your account.
- "You" / "Your"
- means the individual or legal entity that holds an SEO Crawler account.
3. Account Access, Users & Responsibility
By using the Platform, you represent and warrant that:
- You are legally authorised to act on behalf of the entity and domain(s) you authenticate
- You own or lawfully control each authenticated domain
- You have full authority to permit crawling, scanning, or scraping of those domains
- You are responsible for all Users under your account
- All Users will comply with these Terms and applicable laws
- All information you submit is lawful, accurate, and non-infringing
- You will keep login credentials secure and confidential
You assume full responsibility for:
- The legality of crawling your domains
- All Crawl Data generated through your use of the Platform
- All User activity, including unauthorised or negligent actions
Role of the Platform
You acknowledge and agree that SEO Crawler acts solely as a technical tool that enables crawling at your direction. We do not independently initiate, select, control, or determine the scope, frequency, targets, or configuration of any crawl. All crawling activity is initiated, authorised, and controlled by you.
We may suspend or revoke access where misuse, unauthorised activity, or breaches of these Terms are identified.
4. Domain Authentication & Crawl Permissions
SEO Crawler only crawls domains that you authenticate as owned or controlled by you.
You must not:
- Attempt to crawl third-party domains without express authorisation
- Use the Platform for competitive scraping, intelligence gathering, benchmarking, market analysis, content replication, or data harvesting of domains you do not own or control
- Circumvent access controls, security mechanisms, or robots.txt rules unless you legally control the domain and have authority to override them
You are solely responsible for ensuring that crawling your domain complies with:
- Your internal policies
- All applicable laws and regulations
- Contractual obligations and privacy requirements
- Industry standards relating to automated scanning
Third-Party Terms & Hosting Providers
We do not represent or warrant that use of the Platform complies with the terms of service, acceptable use policies, or technical restrictions imposed by any hosting provider, CDN, ISP, platform operator, or third party. You are solely responsible for ensuring compliance with all such obligations.
You indemnify us against any claim arising from your crawling of a domain.
5. Acceptable Use Restrictions
You must not:
- Interfere with or disrupt the Platform or its infrastructure
- Use the Platform for unlawful, harmful, deceptive, or abusive purposes
- Attempt to reverse-engineer, decompile, or extract source code
- Access or crawl domains without proper authority
- Use the Platform to train external AI models
- Exceed rate limits or impose unreasonable load on our systems
- Share Platform access with unauthorised parties
Restricted Use Cases
The Platform must not be used for:
- Surveillance, monitoring, or profiling of individuals or organisations
- Law enforcement, regulatory enforcement, or investigatory purposes
- Evidence gathering for legal disputes or proceedings
- Creditworthiness assessments, background checks, or eligibility determinations
We may restrict, throttle, or suspend usage to preserve system stability or address risk.
6. Subscription Plans & Payment
The Platform is provided on a subscription basis. Plan limits may include:
- Number of domains
- Crawl depth
- URLs per crawl
- Daily or monthly crawl quotas
- Scheduled scans
- AI feature usage
Failure to pay applicable fees may result in suspension or termination.
All fees are non-refundable except where required by Australian Consumer Law.
7. Intellectual Property
All intellectual property in the Platform—including code, design, documentation, and analytical structures—is owned by New Horizon Code Pty Ltd.
You retain ownership of:
- Your authenticated domains
- Your account data
- Crawl Data generated from your own websites
By using the Platform, you grant us a limited, non-exclusive licence to host, process, analyse, and store Crawl Data solely for the purpose of:
- Providing and improving the Services
- Generating reports, analytics, and AI outputs
- Operating, securing, and maintaining the Platform
We do not claim ownership of your website content.
8. AI Tools & Automated Analysis
Certain plans include AI-powered features ("AI Tools"), such as summaries, issue prioritisation, and recommendations.
You acknowledge that:
- AI outputs may contain errors or omissions
- AI Tools are informational only
- AI outputs are not legal, technical, or professional advice
- You must independently review all outputs
We do not use your Crawl Data to train external AI models.
9. Privacy & Data Handling
Our collection and handling of Personal Information is governed by our Privacy Policy. By using the Platform, you consent to data processing in accordance with that Policy.
10. Security, Maintenance & Availability
We implement reasonable security measures; however:
- Access may be interrupted or unavailable
- Maintenance may occur without notice
- Usage may be throttled to protect infrastructure
- Crawl Data accuracy is not guaranteed
You acknowledge that automated crawling may result in rate limiting, IP blocking, or access restrictions imposed by your hosting provider.
No Professional Advice
All Crawl Data, reports, metrics, and recommendations are provided for informational purposes only and do not constitute legal, compliance, regulatory, or professional advice.
11. Termination
We may suspend or terminate access immediately if:
- You breach these Terms
- Payment is overdue
- Crawling is misused
- Your activity poses legal or technical risk
- We are required to comply with law or regulatory direction
Upon termination:
- Access will be disabled
- Data may be retained or deleted per our Data Retention Policy
- You may request a copy of your data subject to verification
We are not liable for losses arising from termination of access.
12. Limitation of Liability
To the fullest extent permitted by law:
- All implied warranties are excluded
- We are not liable for indirect or consequential loss
- We are not liable for lost revenue, profits, or data
- Our total aggregate liability is limited to the lesser of:
- (a) Fees paid in the preceding 12 months, or
- (b) AUD $5,000
Nothing in these Terms limits rights under Australian Consumer Law.
13. Indemnity
You agree to indemnify and hold harmless New Horizon Code Pty Ltd from any claim, loss, or expense arising from:
- Unauthorised crawling or scraping
- Breach of these Terms
- User misuse
- Third-party rights infringement
- Unlawful use of Crawl Data
- Hosting provider suspensions, IP blocking, or service restrictions caused by your crawling
This indemnity survives termination.
14. Third-Party Links & Integrations
The Platform may contain links or integrations with third-party services. We do not control or endorse third-party systems and are not responsible for:
- Their content
- Their availability
- Their terms or policies
Use of such services is at your own risk.
15. Feedback
Any feedback you submit may be used by us without restriction or obligation.
16. Changes to These Terms
We may update these Terms at any time. Continued use constitutes acceptance of the updated Terms.
17. Dispute Resolution
Disputes must first be raised via written notice. Parties must attempt good-faith resolution within 7 days. If unresolved, mediation will occur through the Resolution Institute in Queensland before litigation.
18. Governing Law
These Terms are governed by the laws of Queensland, Australia. Courts of Queensland have exclusive jurisdiction.
